Apta verifies accredited investor status through a third-party verification process prior to accepting any subscription. Self-certification alone is not sufficient for 506(c) offerings. To date, realized investments on Apta-sponsored syndications have produced positive returns to investors, and no investor capital has been lost on Apta-sponsored syndications. This track record applies exclusively to syndication offerings sponsored directly by Apta Investment Group and does not extend to, and should not be attributed to, investment opportunities offered through Apta’s strategic partnership with 37th Parallel Properties.

Apta’s historical track record, including the zero investor capital losses claim, relates exclusively to real estate syndications directly sponsored by Apta Investment Group. That track record does not apply to, and should not be attributed to, investments offered through the 37th Parallel Properties partnership. The performance history, investment strategy, risk profile, and management team of 37th Parallel Properties are separate and distinct from those of Apta Investment Group.

Illiquidity
Concentration Risk
Each Apta offering is a single-property investment. Your investment in any single offering will be concentrated in one asset, one market, and one asset class. A significant adverse event affecting that property or market could result in the loss of a substantial portion or all of your invested capital in that offering.
Market and Economic Risk
Real estate values are subject to fluctuation due to changes in general economic conditions, local and national real estate markets, interest rates, inflation, employment levels, tenant creditworthiness, supply and demand dynamics, and other factors outside Apta’s control. Adverse changes in these conditions may reduce property values, occupancy rates, and cash flow available for distribution.
Leverage Risk
Many real estate investments involve the use of mortgage financing or other debt. Leverage amplifies both gains and losses. If a leveraged property experiences a decline in value or cash flow, losses to equity investors may be disproportionately large. In an extreme case, a property with debt could lose its entire equity value while still having outstanding obligations to lenders.
Tenant and Occupancy Risk
The performance of a real estate investment depends substantially on the ability to attract and retain creditworthy tenants and to maintain occupancy levels sufficient to service debt and generate returns. Tenant defaults, lease expirations, and vacancy can adversely affect property performance. Medical office buildings depend in part on the financial health of healthcare systems, physician practices, and third-party reimbursement environments, each of which carries independent risk factors.
Management and Execution Risk
Returns on real estate investments depend significantly on the skill, judgment, and integrity of the managing sponsor and its principals. There can be no assurance that past investment outcomes will be replicated in future offerings. Key man risk exists with respect to Vasu Kakarlapudi, MD, MBA, and the departure or incapacity of key personnel could adversely affect operations.
